In the documents prepared for next week's shareholder meeting, Bamboo Airlines stated that it had received resignation applications from board members of Mr Nguyen Ngoc Trong, Doan Huu Doan, Le Ba Nguyen, Le Thai Sen, and Nguyen Manh Quan.
To ensure the continuous operation of the board of directors, Bamboo Airlines will apply the formal dismissal of these five members to shareholders at its annual meeting on June 21. Afterwards, the Company will elect a new board of directors for 2023-2028, consisting of 7 members.
Among the members who recently resigned, Mr Trong has been the Chairman of the Board of Directors of Bamboo Airlines since August 2022. He was born in 1957 and has been working for the airline since its establishment, serving as the first deputy general manager of Bamboo Airlines since 2018.
Mr Nguyen and Mr Doan serve as the vice chairman of the board of directors. Mr Nguyen is the brother-in-law of the former
FLC Chairman. At present, he is the Chairman. Mr Doan joined Bamboo Airways' Board of Directors in August last year and holds the position of permanent deputy general director of this airline. Mr Nguyen Manh Quan has been the CEO of Bamboo Airways since July 2022 but resigned from this role at the end of last month. And Mr Le Thai Sam, a member of the Board of Directors at both FLC and Bamboo Airways, is the one who lends this airline more than VND 7,700 billion of unsecured loans.
In early May, FLC announced a resolution to transfer more than 400 million shares of Bamboo Airways (BAV), a ratio of 21.7% of capital to Mr Sam. Before being transferred by FLC, he held 231.7 million shares of BAV, equivalent to 12.53% of the Company's charter capital. Thus, Mr Sam can own over 34% of Bamboo Airways' capital.
Besides the Board of Directors, Bamboo Airways will also dismiss three members of the Supervisory Board, Mr Tran Anh Tuan, Pham Van Phung and Nguyen Dang Khoa. The Company will elect 3 members to replace the Supervisory Board for 2023-2028.
Bamboo Airways has not announced the list of candidates to elect to join the Board of Directors and Supervisory Board for the new term. However, in the middle of last month, Mr Nguyen Ngoc Trong also indicated the change of senior personnel in the context of Bamboo Airways' drastic reform after FLC divested.
According to Mr Trong, Bamboo Airways may have drastic changes in both senior positions in the Board of Directors and Management.
In the immediate future, Mr Hideki Oshima, former Director of International Relations and Aviation Alliance of
Japan Airlines, will join Bamboo Airways' Board of Directors and the Executive Board.
Mr Masaru Onishi, former President of Japan Airlines, will be the Senior Advisor to Bamboo Airways' Board of Directors. Japan Airlines is the second largest airline in Japan. At the end of 2019, Japan Airlines also asked Bamboo Airways for extensive cooperation during the meeting between leaders of the two airlines in Hanoi.Currently, Bamboo Airways' operations are run by CEO Nguyen Minh Hai. Mr Hai was appointed CEO to replace Mr Nguyen Manh Quan at the end of May. With 25 years of aviation experience, he was the Deputy General Director of Vietnam Airlines (from April 2015 to January 2019), General Director of Cambodia Angkor Air.
Answering the Government Portal on June 12, Mr Hai said that Bamboo Airways is completing the ownership transformation from old investors to new investors, and the restructuring will take time. According to him, the restructuring is "very methodical", including recruiting and recruiting experienced senior personnel from international airlines to supplement resources for Bamboo Airways.
