Hannstar, a leading industrial computer manufacturer, is moving forward with its acquisition plans for German firm Kontron, as confirmed by Chairman Zhu Fuquan. Despite a recent recommendation from Kontron's board advising shareholders not to accept Hannstar's offer, both companies remain committed to enhancing their collaboration.
The acquisition proposal, which was announced on June 10, suggests a purchase price of €23.5 per share, representing a premium over Kontron's closing price on June 9. However, Kontron's executive board and supervisory board have expressed that the offer is financially unreasonable and significantly below the average analyst target price of approximately €30.29.
In a statement, Kontron emphasized that the board's recommendation does not reflect the ongoing strategic relationship with Hannstar, which both parties view as highly cooperative and mutually beneficial. The companies are focused on creating sustainable long-term value for all shareholders.
Hannstar and Kontron believe that the investment is a significant long-term strategic equity investment that could lead to substantial opportunities for future collaboration and value creation. They see considerable synergy potential, particularly in the realm of physical AI applications, where Kontron's products, technology, and engineering expertise are expected to play a crucial role in accelerating innovation.
Furthermore, Kontron's CEO, Hannes Niederhauser, will also serve as the Chief Technology Officer at Hannstar starting in July, showcasing a deep integration of their technical cooperation, product integration, and market focus.
